Terms of Use and Terms and Conditions

Grit Solutions Group LLC | Effective date October 3, 2026

Contents

1. Company and covered websites

These Terms of Use and Terms and Conditions (Terms) govern access to websites owned or operated by Grit Solutions Group LLC (Grit, we, us, or our) that display or link to these Terms, including gritinc.co and grit-tracks.com, their subdomains, and related Grit customer portals and forms. They also govern purchases and services where these Terms are presented and accepted. Grit, Grit Tracks, Grit Ops, and Grit Equipment IQ are business names used by the LLC where identified as such. References to you include an individual user and an organization on whose behalf an authorized representative acts.

2. Notice and acceptance

PLEASE READ THESE TERMS BEFORE USING OUR WEBSITES OR PLACING AN ORDER. By visiting, accessing, or continuing to use a covered website after receiving reasonably conspicuous notice of these Terms and a reasonable opportunity to review them, you agree to the website-use provisions to the extent permitted by applicable law. If you do not agree, discontinue use. Mere access does not substitute for any affirmative consent required by law.

When a checkout, account registration, quotation, service authorization, or other transaction presents these Terms and requests your agreement, checking the agreement box, selecting a clearly labeled acceptance button, electronically signing, or otherwise expressly accepting makes these Terms part of that transaction. You must be at least 18 and legally able to contract to make purchases or engage our services. If acting for a business, you represent that you have authority to bind it. Marketing consent and legally required privacy consent are obtained separately; agreeing to these Terms does not itself provide them.

3. Other documents and changes

A signed agreement or statement of work controls over these Terms where it expressly conflicts. A transaction-specific quotation or order confirmation accepted by both parties controls its stated scope, prices, shipping arrangements, and identified product warranty. These Terms otherwise apply. Mandatory law controls in all cases. Purchase order boilerplate does not change our agreement unless Grit expressly accepts the change in writing. A supplier policy applies to your Grit purchase only if identified and made available before your acceptance; it cannot remove Grit's obligations as your seller.

Our Privacy Policy explains information practices and is not a waiver of privacy rights. We may update these Terms prospectively by posting a revised effective date and providing additional notice when required. Accepted orders and accrued claims remain governed by the terms accepted for that transaction unless both parties agree to a change. We will obtain renewed affirmative agreement where necessary for material changes affecting ongoing services.

4. Accounts and acceptable use

Provide accurate account, contact, equipment, payment, and delivery information and keep it current. Safeguard credentials and promptly notify [email protected] of suspected unauthorized access. You are responsible for uses you authorize and for your failure to use reasonable account safeguards; this does not eliminate our legal duties or liability for our own acts. We may use reasonable verification and fraud-prevention measures and suspend access presenting a security risk.

Do not use our websites to commit fraud, impersonate others, submit unlawful content, infringe rights, distribute malware, interfere with systems, bypass access controls, harvest personal information, or scrape nonpublic content. Do not reproduce substantial portions of our catalog or use our proprietary content to build a competing database without written permission. These restrictions do not prohibit conduct that applicable law expressly protects. We may restrict abusive or unlawful access, preserve relevant evidence, and cooperate with lawful investigations.

5. Information and intellectual property

Website content, Grit branding, original guides, images, written materials, and proprietary workflows belong to Grit or their respective licensors. You may view our websites and use reasonable copies of product information to evaluate or use a Grit purchase. Other reproduction, resale, distribution, or exploitation requires permission unless law permits it. Manufacturer names, models, trademarks, and part references are used for identification and compatibility purposes; they do not imply that Grit is an authorized dealer, affiliated with, or endorsed by a manufacturer unless we expressly state otherwise.

Guides, photographs, illustrations, and fitment lists are informational and may show representative products. They do not override an accepted order's specific description or an express warranty. We work to correct errors, but information can be outdated or incomplete. Do not use website content as a substitute for manufacturer operating, service, safety, or installation instructions. No general website material is legal, tax, engineering, or other licensed professional advice.

6. Products and fitment verification

We may sell rubber tracks, OEM or aftermarket parts, and new, used, refurbished, or specially sourced items as identified in the listing or quotation. Condition, quantity, whether a price is per track or per pair, and applicable specifications are those stated in the accepted order. Unless specifically included, installation, tools, hardware, and related components are not included.

Before ordering, verify your equipment make, model, serial number, configuration, existing part specifications, and intended application. For rubber tracks, verify width, pitch, link count, inner-lip dimensions, guide-lug configuration, and undercarriage compatibility; identical nominal track sizes may have different internal configurations. Fitment lists are a starting point, particularly for modified equipment or model variations. Contact us before buying if uncertain. You are responsible for incorrect customer-supplied specifications or a selection made contrary to our written fitment guidance. This responsibility does not excuse Grit shipping a different item, misdescribing a product, or failing to honor an express written fitment commitment.

Use qualified personnel for installation and inspect undercarriage components, tension, clearances, and the delivered item before installation. Follow manufacturer instructions and safe lifting and lockout procedures. Stop use if continued operation could cause injury or additional damage. Do not alter or remove identifying marks needed for product or warranty identification.

7. Quotations and order acceptance

An online listing or quotation is an invitation to order unless expressly stated otherwise. Availability and quoted lead times depend on supplier confirmation. Quotations expire on the date stated; if no expiration is given, confirm current pricing before accepting. An automated receipt confirms submission, not final acceptance. Grit accepts an order when we expressly confirm acceptance in writing or ship it. Any charged amount for an order we do not accept will be refunded promptly.

We may decline orders for lawful reasons such as unavailable stock, suspected fraud, or an obvious material listing error. If an accepted order requires a change, we will request your agreement or cancel and refund the unfulfilled portion as legally required. We do not increase an accepted price without your agreement. Backorders require disclosed lead times and any legally required delay consent; authorization to backorder does not waive cancellation or refund rights required by law.

8. Prices taxes and payment

Unless identified otherwise, prices are in US dollars. You must pay the price, shipping charge (if applicable), and applicable taxes and other charges disclosed before purchase. A shipping charge calculated as a percentage of the order is a stated charge, not a representation of our exact carrier cost. Valid tax-exemption documentation must be provided before invoicing or as otherwise required by law. You remain responsible for applicable use taxes we are not required to collect.

Payment is due before fulfillment unless we approve written credit or milestone terms. Payment processors handle payments subject to their own terms. Providing payment details authorizes collection only of the accepted charges and separately authorized adjustments. Saving a card does not itself authorize unrelated or unspecified charges. ACH debits and recurring charges require the applicable separate authorization. Billing errors should be reported promptly; nothing here limits lawful card dispute, chargeback, or other payment rights.

For commercial credit accounts, overdue undisputed amounts may bear simple interest at 1 percent per month or the maximum lawful rate, whichever is lower, only if this term was disclosed and accepted before credit was extended. Reasonable collection costs may be recovered where agreed and lawful. We may suspend new work or deliveries for materially overdue undisputed balances after notice, subject to existing contractual and legal obligations. No undisclosed late fee or surcharge will be imposed.

9. Shipping delivery and freight services

Standard shipping coverage, rates, restrictions, and estimated lead times are stated at checkout or in the quotation. References to the lower 48 mean the contiguous United States, excluding Alaska, Hawaii, territories, and international destinations unless separately quoted. A commercial address must meet the carrier's classification; a business operating at a residence may still be classified as residential.

Unless your order says otherwise, standard freight is to a carrier-verified commercial address without liftgate service. You must provide an accessible receiving location, a responsible recipient, and suitable safe equipment and personnel to unload. Signature may be required. Liftgate service is not installation, indoor delivery, or placement at a particular location.

Residential or limited-access delivery, liftgate, appointment, inside delivery, redelivery, address correction, storage, refusal, or return freight can create additional charges. Request known additional services before purchase. Where the order expressly authorizes later carrier adjustments, you agree to pay reasonable documented charges caused by inaccurate delivery information or services you request, at the rates or on the basis disclosed in the order. Otherwise, additional services and charges require your approval. Charging a saved payment method requires a valid payment authorization; these Terms alone do not authorize unlimited charges.

For eligible in-stock orders, an advertised 1 to 5 business days means estimated carrier transit after dispatch, not guaranteed delivery from the time of purchase. A 1 pm Eastern cutoff applies only where stated and depends on complete order information, stock, verification, and fulfillment availability. Weekends and carrier holidays are excluded. Split or direct-from-supplier shipments may occur without changing Grit's seller obligations.

We will have a reasonable basis for shipment representations and provide legally required delay notices, cancellation options, and prompt refunds. Where applicable law requires shipment within 30 days absent another stated shipment time, that rule applies. Force majeure and noncancellation provisions do not eliminate those requirements.

Unless a separately accepted commercial freight agreement lawfully provides otherwise, risk of physical loss passes on delivery to your designated destination or pickup by you, not merely on delivery to a carrier. Title passes on delivery and full payment, subject to applicable law. We assist with claims for loss or transit damage occurring before that transfer.

10. Inspection shortages and incorrect shipments

Inspect packaging and goods promptly upon delivery. Note visible damage or shortages on the carrier receipt if possible; photograph packaging, labels, and the item; retain relevant packaging; and contact [email protected] as soon as practicable, preferably within 2 business days. Report concealed damage when discovered. These requested timeframes help preserve evidence and do not automatically eliminate rights that applicable law protects.

Do not install an obviously incorrect or damaged item. For a verified Grit fulfillment error or covered pre-delivery damage, we will arrange an appropriate correction, replacement, or refund and reasonable necessary standard return freight. Carrier procedures do not replace your rights against Grit. Refusal or installation does not automatically resolve a dispute; contact us for instructions.

11. Cancellations returns and refunds

Except for Grit errors, approved warranty claims, or rights required by law, special-order, custom, electrical, used, refurbished, and obsolete-source parts are final sale and are not eligible for change-of-mind cancellation or return after acceptance where that final-sale status was conspicuously disclosed before purchase. Other products, including apparel or merchandise, are subject to the return terms disclosed for that item before purchase. If no additional policy is stated, no discretionary change-of-mind return is offered, subject to applicable law.

Contact us immediately to request cancellation. If we approve a discretionary return, obtain written return authorization and instructions before shipment. Any lawful restocking fee, condition requirement, return deadline, and freight allocation will be disclosed and agreed before you return the item. Unauthorized returns may be declined where lawful. Do not send products to our mailing address without return instructions.

Final sale does not bar a remedy for a wrong item, actionable misdescription, covered defect, failure to ship, or other nonwaivable right. We do not deduct restocking fees or nonrefundable processor fees from legally required full refunds. Approved refunds go to the original payment method where practicable; bank processing time can vary. Store credit is not substituted for a legally required monetary refund without lawful agreement.

12. Rubber track limited warranty

Grit Solutions Group LLC warrants Grit rubber tracks purchased directly from Grit by the original purchaser against defects in manufacturing and materials for 1 year or 1,000 operating hours, whichever occurs first, beginning on the original purchase date, when correctly installed, maintained, and used for their intended application. Operating hours are the hours of use after installation, measured against the installation hour-meter reading. Keep dated installation records and a photograph of the hour meter and machine data plate at installation. This limited warranty is not a promise of a particular wear life or productivity outcome.

Coverage excludes normal wear, cosmetic weathering, and damage caused by cuts, punctures, impacts, debris, misuse, overloading, improper installation or tension, incompatible fitment, worn or damaged undercarriage components, improper storage, or exposure to damaging chemicals or excessive heat. An exclusion applies when the excluded condition causes the claimed damage or failure. Unrelated damage does not automatically void the entire warranty. This warranty does not cover a machine or undercarriage itself. A warranty claim can only be submitted or claimed once for a set of tracks. After a claim has been paid for that set, the warranty coverage is closed.

To request review, contact [email protected] promptly after discovery and within the coverage period, subject to rights required by law. Provide proof of purchase and order number; equipment make, model, and serial number; installation date and hour reading; current hour-meter and data-plate photographs; the affected track's serial stamp; clear photographs of the entire track, failed area, internal lugs, and undercarriage; and a description of the operating conditions and failure. The equipment must match the make and model provided at checkout, unless Grit approved a different installation in writing. If a stamp or record is unavailable for reasons outside your control, contact us; we may consider reasonable alternative identification or evidence. Do not continue unsafe operation.

Grit may request a reasonable inspection or additional information and may consult the manufacturer. Obtain written instructions before returning or disposing of the track. Manufacturer review supports our assessment and does not replace Grit's obligations under this warranty. An unexplained denial by a supplier is not itself a determination that no covered defect exists.

For an approved covered defect, Grit will, at its option, repair the affected track, replace it with an equivalent track, or refund its original purchase price. Grit pays reasonable standard return and replacement freight necessary for an approved covered claim. Inspection and shipping arrangements will be explained before return; no inspection fee will be imposed without prior disclosure and agreement. Unless separately agreed or required by law, this warranty does not cover removal, installation, travel, expedited freight, equipment rental, downtime, lost production, or damage to other components. A replacement has the remaining original coverage period unless law requires otherwise. Where a stated exclusive remedy fails its essential purpose, applicable legal remedies remain available.

This warranty gives you specific legal rights, and you may also have other rights that vary by state. No provision removes nonwaivable rights. This warranty applies only to the identified Grit rubber tracks; other products carry the express warranty stated in their listing or accepted quotation, plus rights required by law. No Grit track warranty applies automatically to third-party branded products.

13. Parts identification and sourcing services

An identification or sourcing engagement is limited to the scope and deliverable stated in the accepted quotation. A quote-only sourcing service may provide a price and availability without disclosing the supplier, proprietary cross-reference, or underlying part number when that limitation was disclosed before payment. You retain ownership of information you supply. We do not promise that a discontinued part exists, is obtainable, or fits without the required verification.

Research fees pay for authorized research, not a guaranteed successful procurement, unless the accepted scope promises a defined result. Fees for completed work are nonrefundable to the extent lawful; prepaid unperformed work is handled under the accepted cancellation terms and applicable law. No blanket no-refund rule excuses failure to deliver the agreed service. A later product purchase remains subject to the relevant product terms.

14. Operations consulting and coordination

Services may include fractional operations, purchasing and vendor administration, inventory reporting, fleet support, maintenance coordination, workflow development, dispatch tools, and agreed marketing or digital setup. The accepted statement of work defines deliverables, responsibilities, timing, fees, acceptance criteria, and any support period. We use reasonable care and skill but do not guarantee revenue, savings, uptime, rankings, or a specific business result unless expressly warranted in writing.

You retain responsibility for business decisions, employment matters, legal and tax compliance, licensing, equipment operation, and safety. Provide accurate information, timely access, necessary approvals, and lawful authorization to use your systems and data. Do not give Grit broader account permissions than needed. Grit cannot place purchases, spend funds, modify critical systems, charge your customers, or bind your business unless a written authorization grants that specific authority and any spending limits. A consulting engagement does not give Grit general power of attorney or fiduciary authority.

Maintenance and repair coordination depends on location, provider capacity, parts, and scheduling. Coordination does not itself mean Grit performs repairs or certifies equipment safety. If you contract directly with an independent provider, that provider is responsible for its agreed work. If Grit contracts to supply a service itself, outsourcing does not remove Grit's own contractual or legal duties. Dispatch forms and QR tools are not emergency-response systems or guarantees of immediate attendance. In an emergency, use appropriate emergency services and established safety procedures.

Changes in scope, paid third-party tools, renewals, integrations, data migration, and ongoing hosting or maintenance require agreement. You own your source business data and retain rights in your pre-existing materials. Grit retains pre-existing methods, templates, and general know-how. Unless a statement of work says otherwise, after full payment you receive a nonexclusive perpetual license to use Grit-created paid deliverables within your business; third-party licenses remain subject to their own terms. Ownership transfer or resale rights require written agreement.

15. Estimates recurring work and termination

An estimate is not a fixed-price guarantee unless stated as such. We will obtain approval for material scope changes and amounts exceeding an approved spending cap. Any authority to exceed a work estimate by up to 20 percent must be separately and clearly disclosed and affirmatively accepted in the specific work order, state the estimate and maximum authorized total, and comply with any repair or other authorization law. There is no automatic 20 percent spending or charging authority under these website Terms.

Ongoing services do not automatically renew or authorize recurring payment merely because you visit a website. Any recurring plan must state its price, frequency, term, renewal, and cancellation procedure before affirmative enrollment and comply with applicable law. Unless an accepted agreement states otherwise, either party may terminate an ongoing month-to-month service on 30 days' written notice. Fixed projects end or may be terminated as stated in their accepted scope. Either party may terminate for a material breach not cured within 10 days after written notice, or sooner where continuing would be unlawful or unsafe.

On termination, pay for completed work and disclosed noncancelable third-party commitments lawfully authorized before termination; Grit will refund unearned prepayments after lawful reconciliation. We will reasonably cooperate in returning client data and access within the agreed scope, subject to retention needed for law, security, billing, or disputes. Deletion may follow ordinary backup cycles. Transfer work outside the agreed scope requires an agreed fee. No renewal or termination provision removes a legally required cancellation right.

16. Confidential information and customer content

For nonpublic client business information received through services, Grit will use reasonable safeguards, limit access to persons who need it for the engagement, and use it only to provide agreed services or meet legal duties. Authorized providers may receive necessary information under appropriate confidentiality obligations. Public information, independently developed information, information lawfully obtained without restriction, and information required by law to be disclosed are excluded. Confidential information is not used in public marketing without permission. A signed confidentiality or data processing agreement controls where applicable.

You retain ownership of content you submit. You grant Grit a limited license to store, process, and share it as necessary to fulfill your requests and operate the agreed services, consistent with our Privacy Policy. Publicly submitted reviews may be displayed with the attribution you authorize. This license does not grant unrestricted rights to publish private fleet, financial, or customer data. Do not submit content you lack rights to share. Grit may remove unlawful or abusive submissions but does not suppress lawful honest reviews merely because they are unfavorable.

17. External tools and separate transactions

Hosting, payment, social media, ecommerce platforms, and linked websites may have separate terms and privacy notices. Their availability and features may change. Grit is responsible for obligations it expressly undertakes and obligations imposed by law; a link does not constitute a warranty of an independent service. Purchases through a third-party marketplace are also subject to that platform's mandatory rules. Equipment rentals, equipment sales requiring additional documentation, financing, regulated repairs, and separately managed client data processing require appropriate transaction-specific agreements; website use alone does not create those arrangements.

18. Warranty disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND GENERAL INFORMATION ARE PROVIDED AS IS AND AS AVAILABLE, WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE WEBSITE ACCESS. These website disclaimers do not negate a product description, an express product warranty, an accepted service commitment, or any nonwaivable duty.

For commercial products where lawful and consistent with an express written warranty, Grit disclaims implied warranties of merchantability and fitness for a particular purpose. We do not disclaim implied warranties where a written consumer-product warranty or applicable law prohibits it. Any permitted duration limitation must be reasonable and separately stated in the applicable warranty. Used or refurbished goods are sold as is only when that condition and disclaimer were conspicuously disclosed and law allows it. Some jurisdictions do not allow particular exclusions; those exclusions do not apply there.

19. Limits of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIT IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS, INCLUDING LOST PROFITS, LOST PRODUCTION, BUSINESS INTERRUPTION, OR DOWNTIME ARISING FROM WEBSITE USE OR A COMMERCIAL TRANSACTION, EVEN IF ADVISED OF THE POSSIBILITY.

For commercial claims, Grit's aggregate liability arising from a product order will not exceed the amount paid for the affected product order; for a service engagement, the fees paid or payable for the affected services during the 6 months preceding the event; and for website use unconnected to a paid transaction, 100 dollars. These caps apply only to the extent lawful and do not reduce an express refund or warranty remedy promised above.

These exclusions and caps do not apply to fraud, willful misconduct, gross negligence, liability for death or personal injury caused by Grit where it cannot lawfully be limited, or any other liability or remedy that cannot legally be excluded or capped. They do not waive consumer, statutory privacy, product liability, or warranty rights where a waiver is prohibited. If an exclusion or cap is invalid, the remaining provisions apply only to the lawful extent.

20. Commercial indemnification

For commercial customers, you will defend and indemnify Grit and its members, managers, employees, and authorized representatives against third-party claims to the extent caused by your unlawful conduct, infringing submitted content, unauthorized instructions, or negligent or intentional misuse of a product or service. This does not require you to indemnify Grit for Grit's own negligence, misconduct, breach, or nonwaivable obligations. Grit will give reasonably prompt notice and reasonable cooperation. You may not settle a claim in a way that admits fault for or imposes nonmonetary obligations on Grit without its reasonable written consent. This provision does not apply where prohibited by law.

21. Delays outside reasonable control

Neither party is responsible for delay caused by events outside its reasonable control, such as severe weather, disasters, government restrictions, or widespread supply or carrier disruption, except for payment already owed and duties law does not excuse. The affected party must provide reasonable notice and take reasonable mitigation steps. This provision does not eliminate shipment-delay notices, cancellation options, mandatory refunds, or other nonwaivable obligations.

22. Disputes and governing law

Contact [email protected] with the relevant facts and requested resolution so we can try to resolve a dispute. Informal discussion is encouraged and is not a required barrier to a legal remedy or a suspension of filing deadlines. These Terms are governed by Michigan law, without its conflict-of-law rules, except where mandatory law requires otherwise. For commercial disputes, the parties consent to state courts in Washtenaw County and the federal court with jurisdiction over that county, subject to any overriding lawful agreement. Consumers retain any mandatory rights to their local law or forum. Nothing restricts access to small claims court or a regulator where legally available. These Terms contain no mandatory arbitration or class-action waiver.

23. General provisions and contact

An unenforceable provision is severed or limited only to the extent law permits, without changing the remaining agreement. Failure to enforce a provision is not a waiver. You may not assign a commercial agreement without consent, except as law permits; Grit may assign in a lawful business transfer without diminishing your accrued rights. No assignment releases an existing obligation unless law or an agreement provides otherwise. Obligations that by their nature continue, including accrued payment, confidentiality, intellectual property, and lawful dispute and liability provisions, survive termination. These Terms and the accepted transaction documents form the agreement for their subject matter. Electronic signatures and records may be used where legally permitted.

Questions, legal notices, order issues, and warranty requests: [email protected] or by calling 586-819-9012. A return shipment requires separate instructions. Formal service of legal process must comply with applicable law and is not replaced by this email contact.
